Appeal by the plaintiff, Ostinelli F. Page, from a judgment of the Supreme Court in favor of the defendant, the American and British Manufacturing Company, entered in the office of the clerk of the county of New York on the 12th day of June, 1908, upon the decision of the court, rendered after a trial at the New York Special Term, sustaining the said defendant’s demurrer to the complaint.

Laughlin, J.:
The demurrer was interposed by the manufacturing company, defendant, and is upon the ground that the complaint fails to state facts sufficient to constitute a cause of action. The point presented for decision is whether a domestic business corporation, organized with preferred and common stock, each class of stock having the same voting power, may reduce one class of stock against the will of a holder of some of that class of stock and thereby reduce his voting power and voice in the management of the affairs of the corporation.
