When the injunction order was obtained a meeting of the stockholders had been duly called for January 19,1910, to vote on reducing the number of the directors of the defendant corporation from twelve to six. .
The defendant corporation was organized under the laws of the State of New York for the purpose of manufacturing and selling architectural terra cotta. • It was organized by. a committee of three, individuals representing “ substantially all of the stockholders ” of three corporations then existing and conducting a, like business..
