INTRODUCTION AND JURISDICTION
Prior to filing a voluntary chapter 7 bankruptcy petition, Debtor-Defendant Thomas A. Frank and Plaintiff James D. Kasishke were the only two shareholders in Landtec, Inc. (“Landtec”), each holding half of the company’s shares.
