Plaintiff brought this action in the district court alleging violation of § 10(b) of the Securities Exchange Act of 19341 and Securities and Exchange Commission Rule 10b — 52 and several common law claims. The case hinges on the legal effect of a stock option contained in a corporation’s by-laws allowing the corporation to purchase the stock of a deceased shareholder.
