NACCO Materials Handling Group, Inc. d/b/a/ Yale Material Handling Corporation (hereinafter “NACCO”) initially sued Toyota Materials Handling USA, Inc. (hereinafter “Toyota”) for unlawful procurement of breach of NACCO and The Lilly Company’s (hereinafter “Lilly”) dealer agreement, and applied to the trial court for a declaration clarifying the terms of NACCO and Lilly’s contract.
