ALDISERT, Circuit Judge.
A number of shareholders1 of Nova-Care, Inc.’s (now known as NAHC, Inc.) (“NovaCare” or “Company") appeal from the dismissal of their consolidated amended complaint (“the Complaint”) by the district court pursuant to Rule 12(b)(6), Federal Rules of Civil Procedure, and the Private Securities Litigation Reform Act (“PSLRA”), 15 U.S.C. §§ 78u-4 et seq.
