MEMORANDUM OF DECISION

E. STEPHEN DERBY, Bankruptcy Judge.

This matter raises the question whether a second tier owner is a party in interest within 11 U.S.C. § 1121(c) which is eligible to sponsor a debtor’s plan of reorganization.

Facts

Debtor is a general partnership with two partners — Leo Zickler and River Bend Partners, a limited partnership. Leo Zickler holds a .5% interest in Debtor, and River Bend Partners holds a 99.5% interest.
