YOUNG, Chief Judge.

I. INTRODUCTION

The representative plaintiffs in this putative class action (the “Limited Partners”), bring a multi-count securities complaint against the Managing General Partner and various controlling entities (collectively, ‘Winthrop”) of the Nantucket Island Associates Limited Partnership (the “Partnership”).
