FLAUM, Circuit Judge.
This is an appeal from a denial of a motion to vacate a default judgment. For the reasons stated below, we affirm the decision of the district court.

On March 28, 1981, the plaintiff-appellee brought this suit against the corporate defendant and the two individual defendants, both corporate directors and officers, alleging that the defendants owed it $661,-254.02 for engineering work performed pursuant to an agreement.
