This is an action against the defendant corporation to recover damages for the defendant’s refusal to transfer to the plaintiff 15 shares of its capital stock. In May, 1891, one Reynolds, an employe of the defendant, applied to the plaintiff for a loan of $8,500, upon the discount of his note, indorsed by one Jurgens. The certificates of stock which lie at the foundation of this controversy are regularly signed by the president and treasurer of the corporation, bear the corporate seal of the company, and were regularly issued to the individuals named-in the several certificates, who indorsed in blank an assignment with a power of attorney to execute a transfer upon the stock books, which indorsement was witnessed.
