Appellee brought this action to recover back the purchase price of a certain certificate of bank stock sold him by appellant at and for the agreed price of $1,000, that being the par value of the stock. The action was based on the theory that the contract of sale was voidable by reason of a fraud practiced on appellee by appellant in the negotiations leading up to the contract; and that, on the discovery of the fraud, appellee elected to avoid the contract by tendering back the bank stock and demanding the repayment of his money, which was refused.
