Before the Court are the Motions of the Defendants to Dismiss the Complaint filed by MBNA America, N.A. (“MBNA”) and the Motion of MBNA for Partial Summary Judgment. For the reasons stated below, we grant, in part, both the Motions to Dismiss and the Motion for Partial Summary Judgment.

1. BACKGROUND
