MEMORANDUM OF DECISION ON VALIDITY, EXTENT, AND PRIORITY OF LIENS, AND EQUITABLE SUBORDINATION
FRANCIS G. CONRAD, Bankruptcy Judge.
This adversary proceeding 3 is before us on Midiantic’s complaint to determine the validity, extent, and priority of conflicting security interests in a Boat. The complaint, counterclaims, and affirmative defenses allege inequitable conduct, negligence, and fraud. We hold that BWAC 4 has a first priority interest in the Boat. We do not equitably subordinate any claims because the conduct of all parties does not justify its application.
