This matter is before the Court on the parties’ cross motions for partial summary judgment on Count I of Plaintiffs Petition for- Declaratory Judgment (“Petition”). Plaintiff is- Prime Health Care Services (“Prime”), which purchased the Landmark Medical Center (“Landmark”), a financially-troubled hospital in Woonsocket, Rhode Island, in December 2013.
