Plaintiffs Battenfeld of America Holding Company, Inc. and SMS Capital Corporation filed this negligence action against defendant accounting firm Baird, Kurtz & Dobson (“BKD”) arising out of accounting and auditing services BKD provided to American Ma-plan Corporation (“AMC”), a corporation purchased by plaintiffs from AMC’s Sole shareholder Friedrich Theysohn GmbH (“FTG”), which in turn was owned by VGT AG (“VGT”).
