MEMORANDUM AND ORDER

JOYNER, District Judge.

This case has been brought before the Court on Motion of the Defendant-Coun-terclaimant Florida Infusion Services, Inc. for summary judgment on both the Plaintiffs complaint for declaratory judgment and its counterclaim for judgment on the commercial promissory note and guaranty agreement which plaintiff and her husband executed in defendant’s favor on August 24, 1999. For the reasons which follow, the motion shall be denied.
