This is an action against directors to compel them to pay “ the value of any property, which they have acquired to themselves, or transferred to others, or lost, or wasted,” through, neglect of duty (General Corporation Law, sec. 90; Consol. Laws, chap. 23.)

On August 27, 1918, the plaintiff, John H. Giles Dyeing Machine Company, sold and delivered all its assets to .the defendant Klauder-Weldon Dyeing Machine Company, a New York corporation.
