The complaint alleges as follows: That in May, 1882, the plaintiff was, and now is, the sole owner of 400 shares of capital stock of the Pennsylvania So Western Railroad Company, of which R. Carman Combes was president; that an agreement was made May 18, 1882, by Combes in his own right and as attorney in fact for certain of the stockholders, with one S. R. Peale, which recited a previous contract of January 7, 1882, with John C.
