Appeal by the plaintiff, The City Trust, Safe Deposit and Sure'ty Company of Philadelphia, from an interlocutory judgment of the Supreme. Court in favor of the defendant, John B. Haaslocher, as ' president of The Brewers’ Indemnity 'Fund Association, entered in ■ the office of the clerk of the county of New York on the 23d' day-of March, 1904, upon the decision of the .court, rendered after a trial at the New York Special Term, sustaining the said defendant’s demurrer to the plaintiff’s complaint.

Ingraham, J.:

The plaintiff is a corporation organized under the laws of the State of Pennsylvania. The defendant Haaslocher is the president of an unincorporated association, having an office for the transaction of its business in the-city of New York; and the defendant, the brewing company, is a domestic corporation organized under the laws of the State of New York. The complaint alleges that the Brewers’ Indemnity Fund Association was formed for the purpose of undertaking the. defense of all actions against the members thereof, in the trial and appellate courts, at its own proper cost and…
