The appellee, a stockholder in the appellant corporation, began this action by a complaint in which the appellant corporation and the appellants Sale were made defendants, the latter both as individuals and as officers of the corporation.

The complaint alleges that the corporation owned and operated a motor bus line for the transportation of passengers and freight; that the total number of authorized shares of capital stock is 500 shares of the par value of $100 each; that on the 15th day of September, 1929, there was a total of 149 shares of the stock of the corporation outstanding, of which…
