Appellant Richard Romani brought this securities fraud action on behalf of himself and a class of persons consisting of all similarly situated investors in a horsebreed-ing limited partnership. Romani alleged that the defendants — varied individuals and entities responsible for the partnership’s public offering — fraudulently induced investments through misrepresentations and omissions in the offering materials that falsely inflated the partnership’s financial potential.
