OPINION AND ORDER

COTE, District Judge.

The plaintiffs in this federal securities fraud action have moved to certify as a class certain investors in the Manhattan Investment Fund, Ltd. (the “Fund”). The Fund was an offshore investment fund operated from New York by defendant Michael Berger (“Berger”). The plaintiffs allege that the class lost hundreds of millions of dollars over the course of several years due to the scheme Berger concocted.
