MEMORANDUM & ORDER
BLOCK, District Judge.
Plaintiff, RJE Corp. (“RJE”), has brought this action, invoking the Court’s diversity jurisdiction, against defendant, Northville Industries Corp. (“Northville”), for a declaratory judgment and specific performance.
The parties have a joint interest in a multi-million dollar petroleum pipeline sys tem located on Long Island (the “Pipeline System”). They have entered into a certain “Option Agreement” that provides various methods by which the parties can sever their joint interest.
