I. INTRODUCTION

This action involves a challenge by plaintiff City of Providence (“Providence”) to a forum selection bylaw (the “Forum Selection Bylaw”) adopted by defendant First Citizens BancShares, Inc., (“FC North”), a bank holding company incorporated in Delaware and based in Raleigh, North Carolina.
