This was an action brought by a stockholder of the appellant corporation to recover damages for the .alleged unauthorized transfer of stock.

In view of what follows it is necessary to set forth the substance of the pleadings. The action was commenced on the 23d day of June, 1909. The respondent in his complaint alleged that one Hans O. H. Ramlose died intestate on or about the 12th day of June, 1898, and that A. P. Rasmussen, the respondent, is the duly appointed, qualified, and acting administrator of said decedent’s estate; that the appellant is a corporation; that at the time of the death…
