On July 26, 1990, plaintiff and counterclaim-defendant Westinghouse Electric Corporation (“Westinghouse”) and defendants and counterclaim-plaintiffs ‘21’ International Holdings, Inc. and ‘21’ International, Inc. (collectively, “21 International”) entered into an Asset Purchase Agreement (the “APA”) under which Westinghouse agreed to purchase substantially all of the assets and assume certain liabilities of counterclaim-defendant Knoll North America, Inc.
