OPINION

ROBINSON, Judge.

This case is before the court after trial in Milwaukee, Wisconsin, May 21-24, 1990. Robert M. DiStasio (plaintiff) has sued for a refund of federal tax penalties assessed and collected under Internal Revenue Code (I.R.C.) § 6672 (1978), (26 U.S.C.), for unpaid employment taxes of A & S Mechanical Contractors, Inc. (A & S); A & S Electrical Contractors, Inc. (A & S Electrical); A-Emergency Sewer Cleaners, Inc.
