MEMORANDUM OPINION AND ORDER

JOINER, District Judge.

This diversity case, a breach of contract action, is before the court on defendants’ motions to dismiss for lack of personal jurisdiction, for lack of subject matter jurisdiction, and for failure to state a cause of action upon which relief can be granted. In the alternative, defendants move for an order transferring this case to a California district court, or for an order compelling arbitration.
