OPINION AND ORDER

DOMINGUEZ, District Judge.

Pending before the Court is defendants’ motion to dismiss the complaint for failure to state a claim, pursuant to FED. R.CIY.P. 12(b)(6). After referring this matter to Magistrate Judge Gustavo Gelpi, a Report and Recommendation (R & R) was issued, recommending this Court to grant the motion to dismiss. (Docket No. 55). Plaintiffs, nevertheless, filed a motion challenging the conclusions reached in the R & R.
