MEMORANDUM OPINION AND ORDER

SIM LAKE, District Judge.

Plaintiff, J.D. Fields & Company, Inc. (“J.D. Fields”), brings this action against defendant, United States Steel International, Inc. (“USSI”), alleging breach of contract, promissory estoppel, and fraud concerning two transactions involving the sale of steel pipe. USSI brings a counterclaim against J.D.
