MEMORANDUM OPINION AND ORDER CONTAINING THE COURT’S FINDINGS OF FACT AND CONCLUSIONS OF LAW

WOODS, District Judge.

This matter came before the Court for a bench trial, commencing on June 23, 2000, and concluding on July 10, 2000. Upon completion of the seven-day trial, the Court hereby enters the following Findings of Fact and Conclusions of Law pursuant to Fed.R.Civ.P. 52(a).
