NIEMEYER, Circuit Judge:

After Dr. William S. Berman, who was a stockholder, director, and employee of a close corporation providing medical services, submitted his resignation as an employee, effective nine months later, the board of directors of the corporation terminated his employment, effective 30 days later, claiming that their preemptive decision was justified by “reasonable cause.” Berman brought this diversity-jurisdiction action against the corporation’s directors and…
