MEMORANDUM OPINION
H. FRANKLIN WATERS, Chief Judge.
This is an action for declaratory judgment filed by Entertainment Innovators, Inc., Doc Murdock’s Inc., and J.P. Warren on October 22, Í992, in the Chancery Court of Washington County, Arkansás. The action was removed to this court by the defendant on the basis of diversity of citizenship on March 23, 1993, after the dismissal of a non-diverse defendant.
