In 1984, defendants Alan Epstein and Kenneth Feinberg established defendant Macon Gas Resources Corporation (“MGRC”) and became its officers, directors and shareholders. MGRC and Orlando Capital Resources (“Orlando”) then formed Macon Gas Resources General Partnership (“the partnership”), a partnership created for the purpose of recovering methane gas from a Macon landfill, processing it and selling it as an energy source.
