This case is before us on a motion by the appellee, The Nemours Foundation (Nem-ours), to dismiss an appeal taken by Man-ganaro Corporation from an order of the district court sitting in diversity which certified two questions of state law to the Delaware Supreme Court. This presents a question which, as far as we can tell, is one of first impression in the courts of appeals.
