MEMORANDUM OPINION
SEAN J. McLAUGHLIN, District Judge.
Presently pending before the Court is a Motion for Summary Judgment filed by Defendant Sloan Valve Company (“Sloan”) and a Motion for Partial Summary Judgment on Defendant’s Affirmative Defenses filed by Plaintiffs Zureo, Inc. (“Zureo”) and Zurn Industries (collectively, “Zurn”).
I. BACKGROUND
