MEMORANDUM OPINION
DECKER, District Judge.
This action was brought by the plaintiffs for the rescission of their interests in a limited partnership (Serendipity Partners) in accordance with Section 13, subd. B. of the Illinois Securities Law, Ill.Rev.Stat. ch. 121%, § 137.1, et seq. The complicated background of this litigation, which now includes a parallel suit in the state courts of California and *673a third party claim in the instant case, requires some explanation.
