This securities class action is before the Court on defendants’ Motion to Dismiss (# 54). After an extended briefing schedule, the motion is ripe for disposition.

I. Background

This case was brought on behalf of all persons who purchased Patriot Coal Corporation securities between October 21, 2010 and July 6, 2012. Nonparty Patriot Coal is a coal company based in St. Louis with coal operations and reserves in the central and eastern United States.
