MEMORANDUM DECISION

CHIN, District Judge.

This diversity action arises out of the failed relationship between two businesses in the children’s clothing industry. In their second amended complaint, plaintiffs Kidz Cloz, Inc. (“Kidz Cloz”) and Harold Schwartz (“Schwartz”) assert four claims against defendants Officially for Kids, Inc.
