OPINION
CEDARBAUM, District Judge.
This action is the second of two securities class actions filed in the wake of a series of belated financial restatements made by The Warnaco Group, Inc. (“Warnaco”). The present action is brought on behalf of all purchasers of Warnaco common stock between August 15, 2000 and June 8, 2001. Plaintiffs brought claims against Warnaco and several of its officers and directors for violation of Sections (10)(b) and 20(a) of the Securities Exchange Act of 1934, 15 U.S.C. §§ 78j(b) and 78t(a), and a common law claim for breach of fiduciary duty.
