The Staple Cotton Co-operative Association, appellant, filed a bill in. the chancery court of Bolivar county against the defendant, J. S!. Borodofsky, in which the cotton association charged that the defendant in 1921 had entered into a co-operative agreement with the other members of the association by which the said Borodofsky agreed to deliver all the cotton raised on his place by him, for him, or in which he had an interest, setting out the various sections of the co7operative agreement which will be further adverted to in this opinion.
