MEMORANDUM OPINION

SIMPSON, District Judge.

This matter is before the court on motion of the defendant, Louisville Gas & Electric Company (“LG & E”), to dismiss the Amended Complaint and Coal Equity’s Cross-Claim against it (DN 49).

Facts

The facts underlying this adversary proceeding were set out in detail in the memorandum opinion of the United States Bankruptcy Court for the District of Delaware which granted LG & E’s motion to transfer venue to this court.
