This case is currently before the court on defendant’s motion to dismiss pursuant to Rule 12(b)(2) of the Federal Rules of Civil Procedure. Defendant moves to dismiss the Complaint filed in this action on the ground that plaintiff, International Capital Equipment Limited (“ICE”), is a foreign corporation transacting business in Georgia without a certificate of Authority.
