MEMORANDUM OPINION
DECKER, District Judge.
This action was instituted by the Trustees of the McCormick-Patterson Trust (“Trust”) for a declaratory judgment to affirm their rights, as Trustees, to vote the shares of stock of the Tribune Company (“Company”), held by the Trust, in favor of certain proposed amendments to the Company’s certificate of incorporation and by-laws. The defendants are two beneficiaries of the Trust who have challenged plaintiffs’ right to vote for the proposals. 1 In a prior opinion, this court denied the beneficiaries’ motion to dismiss the complaint for lack of personal…
