This is a suit challenging certain aspects of a merger of McLean Industries, Inc. (McLean) into R. J. Reynolds Tobacco Company (Reynolds). On September 17, 1971, this Court granted the plaintiffs’ motion for summary judgment on the issue of liability under the Securities Exchange Act of 1934 (the 1934 Act), § 14(a), 15 U.S.C. § 78n(a), against Reynolds as the surviving corporate defendant and against four individual defendants.
