In this consolidated appeal, 1 appellants-plaintiffs Elizabeth Marcuceilli et al. (collectively referred to as the minority shareholders) appeal the trial court's dismissal of their amended complaints against the appellees-defendants Hi-Way Drive-In Theatre, Inc., et al. (Hi-Way) and Ken Corporation (Ken Corp.), ef al.
