On December 18, 1985, the plaintiff in this diversity case, Cumis Insurance Society, Inc. (“Cumis”), a Wisconsin corporation with its principal place of business in that state, brought this action as assignee and subrogee of St. Mary’s Windsor Locks Parish Federal Credit Union (“St. Mary’s”). In a six-count complaint against Windsor Bank and Trust Co.
