SUMMARY ORDER

ON CONSIDERATION WHEREOF, IT IS HEREBY ORDERED, ADJUDGED, AND DECREED that the decision of the district court be and hereby is AFFIRMED in part and REVERSED in part and this case remanded for further proceedings.

Both parties appeal from the judgment of the district court (Droney, J.) entered August 24, 2004 and reaffirmed June 10, 2005, awarding plaintiff $1.4 million in damages following a bench trial. The parties’ familiarity with the facts and procedural history of the case is assumed.

As a threshold matter, we reject as waived defendant’s argument that we lack jurisdiction…
