Plaintiffs-appellants appeal from the district court’s dismissal of their two-count complaint. Although this case presents complex legal questions, the factual background of the dispute is relatively simply. Lawrence Alberti and Alberti International, Inc. owned 35 percent of the stock of Empacadora Nicaragüense, S.A., a Nicaraguan corporation engaged in the business of slaughtering livestock and packaging beef.
