I. INTRODUCTION
In late 2006, plaintiff International Technologies Marketing, Inc. (“ITM”) agreed to assist defendant Verint Systems, Ltd. (“Verint”) in its efforts to acquire a Brazilian company, Suntech. ITM had initially identified Suntech as a potential customer for Verint’s telecommunications products, but Verint quickly shifted its focus towards an acquisition instead.
